Program Description

This program provides a practical and detailed discussion of how in-house legal departments and outside counsel can work together to ‎execute M&A transactions effectively and efficiently. This discussion brings together the general counsel of Eastman Kodak Company along with M&A partners from Eastman Kodak’s longtime outside law firm, Sullivan & Cromwell, who engage in an honest and open discussion on ways to maximize the partnership between in-house counsel and their outside law firms in the M&A context. The program identifies the various points throughout the M&A deal lifespan, including, structuring, due diligence and data room assembly, contract drafting and negotiation, budgeting, and post-closing, where in-house counsel and outside counsel can plan, communicate and collaborate in order to maximize efficiencies and consummate a successful transaction.
