Sharon Underberg served as Eastman Kodak Company’s General Counsel, Secretary and Senior Vice President from January 2015 until January 2019. She was responsible for leading the company’s global legal function and for providing legal guidance to senior leadership and the Board of Directors. Underberg reported to Chief Executive Officer Jeff Clarke. Underberg was an attorney with Kodak for 29 years, previously serving as Deputy General Counsel and Vice President, Legal Department from September 2014 to January 2015, as Assistant General Counsel and Vice President, Legal Department, from June 2006 until September 2014, and as Assistant Corporate Secretary from June 2004 until June 2006. For much of her tenure with Kodak, she specialized in global commercial transactions, particularly acquisitions, divestitures, joint ventures and corporate financings. Underberg led the legal team on numerous deals, including the completion of the acquisitions of the Kodak Polychrome Graphics and NexPress joint ventures, the divestiture of the Health Imaging business, and the spinoff of the PI / DI Business. She advised on every major financing transaction Kodak completed in the past 15-plus years. In addition, Underberg was an instrumental part of the team that led Kodak through its chapter 11 restructuring, providing advice on a wide range of contractual, litigation, financing, and divestiture activities.

Effective March 1, 2019, Underberg will assume the role of Corporate Vice President and General Counsel of a publicly-traded technology company based in the Northeastern part of the U.S. She will be responsible for leading the company’s global legal and compliance functions and for providing legal guidance to senior leadership and the Board of Directors. Underberg will report to the Chairman and Chief Executive Officer in her new role.
